These Terms & Conditions (“Terms”) govern your use of www.miroimage.com (the “Site”), including all viewing, purchases, commissions, downloads, and interactions with our content or services. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. Eligibility

By using the Site, you confirm that you:

Are at least the age of majority in your jurisdiction, or
Have parental/guardian permission for any minor dependents using the Site.

We may update or modify these Terms at any time. Updated versions will be posted on this page, and your continued use of the Site constitutes acceptance of the revised Terms.

4. Purchases & Payments

All prices listed are subject to change without notice.
Taxes, shipping, and additional fees may apply.
We reserve the right to accept or refuse any order.
Payment is due at the time of purchase unless otherwise agreed in writing.

5. Commissioned Work

Commissioned art and photography services are governed by the Commission Agreement Template below.

All commissions require written confirmation, scope definition, and deposit prior to commencement.

6. Intellectual Property

All artwork, photographs, images, graphics, branding elements, text, and multimedia on the Site are the exclusive property of Miro Image unless otherwise stated.

Unauthorized use is strictly prohibited.

7. Third-Party Links

The Site may contain links to external sites. We are not responsible for the content, policies, or security of these third-party websites.

8. Disclaimer of Warranties

The Site, services, and all content are provided “as is” and “as available,” without guarantees, representations, or warranties of any kind.

9. Limitation of Liability

To the maximum extent permitted by law, we are not liable for:

Indirect, incidental, or consequential damages,
Loss of data, profit, revenue, or opportunity,
Any issues arising from Site use or product/service purchase.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, losses, or expenses resulting from:

Your misuse of the Site,
Your violation of these Terms,
Your infringement of our intellectual property.

11. Governing Law

These Terms are governed exclusively by the laws of Ontario, Canada, without regard to conflict-of-law provisions.

RETURN & REFUND POLICY

This Return & Refund Policy applies to all physical products, prints, services, and commissioned artworks purchased through www.miroimage.com.

1. Original Artwork & Prints

Because of the fragile, limited, and artistic nature of our products:

All sales of original artworks, prints, and photography are final.

We do not offer returns, exchanges, or refunds unless:

The item arrives damaged, or
You receive the wrong product.

If this occurs, you must contact us within 5 days of delivery with:

Order number,
Photographs of damage or incorrect item,
Packaging photographs (to support carrier claims).

If approved, we will offer one of the following:

Replacement (if available),
Partial refund,
Full refund.

2. Digital Files

All digital downloads and digital services are non-refundable once delivered.

If a technical issue prevents access, we will resend the file.

3. Commissioned Artwork

Commissions operate under a separate policy, detailed below.

Deposits for commissions are non-refundable once work has begun.

4. Shipping Issues

We are not liable for:

Delays caused by carriers,
Lost packages due to incorrect addresses entered by the customer.

If a package is lost or damaged during shipment, we will assist with the carrier claim process.

COMMISSION AGREEMENT TEMPLATE

Use this agreement for any custom artwork, photography, portraiture, or creative project commissioned from Miro Image.

COMMISSION AGREEMENT

This Commission Agreement (“Agreement”) is made between:

Artist: Miro Image (“Artist”)

Client: [Client Name] (“Client”)

1. Scope of Work

The Artist agrees to create the following commissioned work (“Work”):

Type of work: (Painting / Photograph / Drawing / Digital Art / Retouching / Concept Art / etc.)
Description: (Detailed description of subject, style, size, materials, mood, etc.)
Intended use: (Personal display, commercial use, branding, etc.)

Any revisions to the scope must be mutually agreed upon in writing.

2. Timeline

Estimated completion date: [Insert Date]

Timelines may vary based on revisions, complexity, or available materials. The Artist will keep the Client updated throughout the process.

3. Pricing & Payment

Total cost: [Insert Total]

Deposit: [50%] (non-refundable)

Remaining balance due:

On delivery, or
According to the agreed milestone schedule.

Work begins only after a deposit is received.

4. Revisions

The Client is entitled to:

1 included revisions during the draft/proofing stage.
Additional revisions will be billed.

Revisions after final delivery constitute new billable work.

5. Ownership & Copyright

Unless otherwise stated:

The Artist retains full copyright to the Work.
The Client receives a non-exclusive license to display the Work for personal use.
Commercial use requires a separate written licensing agreement.

The Client may not:

Reproduce the Work,
Sell copies,
Alter, edit, or remix the Work,
Use the Work for advertising without licensing.

The Artist may display the Work in portfolios, exhibitions, online galleries, and promotional materials unless confidentiality is requested in writing.

6. Delivery

The Artist will deliver:

Physical work via shipping or pickup, OR
Digital work via secure download link or email.

Shipping costs (if any): [Paid by Client]

7. Cancellation Policy

Deposits are non-refundable once work begins.
If the Client cancels before work begins, deposit may be refunded at the Artist’s discretion.
If the Artist must cancel, all payments (including deposit) will be refunded.

8. Liability

The Artist is not liable for:

Delays caused by supply shortages,
Shipping delays or damage (though assistance with claims will be provided),
Losses arising from Client misuse of the Work.

9. Acceptance of Final Work

Final acceptance occurs once:

The Client confirms approval in writing, or
3 business days have passed since delivery with no objections.

10. Governing Law

This Agreement is governed by the laws of Ontario, Canada.
